Wholesale Terms

These Wholesale Terms & Conditions govern all wholesale purchases from Made in Yosemite LLC. By placing a wholesale order, Buyer agrees to the terms below.

1. Eligibility

Wholesale purchasing is available only to approved retail partners with a valid resale certificate. Products are for resale only.

MIY reserves the right to approve, deny, suspend, or terminate wholesale accounts at its sole discretion.

2. Minimum Order Requirements

• Products are sold by the case unless otherwise specified.
• Minimum quantities apply per SKU.
• Reorders may be subject to minimums.

Pricing and case configurations are subject to change with notice.

3. Wholesale Pricing & Confidentiality

Wholesale pricing is confidential and provided exclusively to approved retailers.

Retailers agree not to share wholesale pricing with third parties.

MIY reserves the right to adjust pricing at any time with reasonable notice.

4. Minimum Advertised Price (MAP) Policy

To preserve brand integrity and retailer margin, MIY enforces a Minimum Advertised Price (MAP) policy.

• Retailers may not advertise MIY products below the current MSRP without prior written authorization.
• MAP applies to all public advertising, including websites, email campaigns, social media, marketplace listings, and printed materials.
• Temporary promotions must receive written approval.

Failure to comply with MAP may result in:

• Written warning
• Suspension of wholesale privileges
• Permanent termination of account

MIY reserves the unilateral right to interpret and enforce this policy.

5. Authorized Sales Channels

Products must be sold only through approved retail storefronts or approved websites.

The following are prohibited without written consent:

• Amazon
• eBay
• Etsy
• Third-party marketplaces
• Drop-shipping arrangements

Unauthorized resale may result in immediate account termination.

6. Intellectual Property

All artwork, designs, branding, packaging, photography, and marketing materials remain the exclusive intellectual property of Made in Yosemite LLC.

Retailers may not:

• Reproduce artwork
• Alter packaging
• Create derivative works
• Print artwork on other merchandise
• Use images outside approved promotional purposes

Approved retailers may use official MIY product images solely for marketing MIY products.

7. Indemnification

Buyer agrees to indemnify, defend, and hold harmless Made in Yosemite LLC, its members, employees, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising out of:

• Retailer misuse or misrepresentation of products
• Unauthorized resale or advertising
• Alteration of packaging or artwork
• Improper storage, handling, or display
• Violation of applicable laws by the retailer

This obligation survives termination of the wholesale relationship.

8. Limitation of Liability

Made in Yosemite LLC shall not be liable for indirect, incidental, special, or consequential damages arising from the sale or use of its products.

MIY’s total liability shall not exceed the amount paid for the specific order in question.

9. Governing Law

These Terms are governed by the laws of the State of California.

Any disputes shall be resolved in the State of California.

10. Termination

MIY reserves the right to terminate wholesale relationships at any time for violation of these terms or conduct that, in MIY’s sole judgment, harms the brand.
